Terms of service.
The agreement between you and Strontium when you use the API, the playground, this website or a service we build for you.
Draft for review. These terms are not yet in force.
1. Who we are, and what these terms cover
Strontium ([legal name of the company], "Strontium", "we") provides image, video, audio and lipsync generation through an API at api.strontium.ai, an account and playground at app.strontium.ai, this website, and custom services agreed in writing. These terms apply to all of them. By creating an account, using an API key or sending a request to the API, you agree to them. If you use the service for a company, you confirm that you may bind that company, and "you" means the company.
A separate written agreement for a custom service (inference, training, compute or ad creation) takes precedence over these terms where the two differ.
2. Your account and API keys
You need an account to use the API. Keep your sign-in details and API keys secret: anything done with your keys counts as done by you, including the balance it uses. Tell us at once at support@strontium.ai if a key may have leaked, and revoke it in the app. You may create keys per organization and rotate or revoke them at any time.
You must be at least 18 and able to enter a contract where you live.
3. The service: models, jobs and outputs
You send a job to a model with your inputs (the model parameters) and an address for the result (your webhook). We run the job and post the result to your webhook with the units used and the price per unit. A job that fails is reported to the same address with a failure code. We keep trying to deliver a result until your server answers 200, up to a limit.
Each model's page in the app describes its parameters, limits and prices, which may change. We may add, change or retire models, and we try to give notice before a retirement.
Outputs are produced by machine learning models and may be wrong, unexpected or unsuitable for your purpose. You are responsible for checking an output before you rely on it or publish it.
4. Prepaid balance, prices and refunds
The service is paid for from a prepaid balance that you top up by card through our payment provider. Each job deducts the units it used multiplied by the price per unit shown for the model when the job ran. There is no subscription and nothing else is billed. A request made while the balance is empty is refused.
Prices are in US dollars unless stated otherwise and exclude taxes, which are added where the law requires. [Refund terms: for example, an unused balance is refunded on request within 30 days of a top-up; a used balance is not refunded except where a failure on our side consumed it.]
5. What you may not do
You may not use the service to:
- make content that is illegal where you or your audience are, or that infringes someone's rights;
- make or share a realistic depiction of a real person's face, body or voice without that person's consent, or content that misrepresents a real person, including to deceive or harass;
- make sexual content involving minors, or any content that sexualizes, exploits or endangers a minor;
- make content that promotes violence, terrorism, self-harm, or discrimination against a protected group;
- break advertising, election or consumer protection law with what you make;
- probe, overload or interfere with the service, or get around its limits, metering or billing;
- resell access to the API as such, or use the outputs to train a model that competes with ours, unless agreed in writing.
We may refuse, stop or remove jobs and content that break these rules, and suspend or close an account that does, without refunding the balance those jobs used.
6. Your content and our rights
You keep the rights to the inputs you send. You give us the licence we need to run your jobs: to store, process and transmit your inputs and outputs for that purpose, and to keep them for the period in our Privacy policy. As between you and us, you own the outputs your jobs produce, as far as the law allows ownership of machine-generated content, and you are responsible for how you use them.
The service, the models we train, the software, the website and the Strontium name and marks stay ours. These terms give you no rights to them beyond using the service.
We may use aggregated, anonymous usage information (such as job counts and durations) to run and improve the service. We do not use your inputs or outputs to train models unless you agree to that separately.
7. Availability, changes and support
We work to keep the service available but do not promise uninterrupted service: maintenance, outages and the limits of models happen. We may change the service, the API and these terms. For a material change to these terms we give at least 14 days' notice by email or in the app; using the service after that date means you accept the change. Support is by email at support@strontium.ai and, for enterprise customers, as agreed in writing.
8. Warranties and liability
The service is provided as is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or that outputs are accurate or free of third-party claims.
To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, lost profits, lost data or business interruption. Our total liability for all claims in any twelve months is limited to the amount you paid us in those twelve months. Nothing in these terms excludes liability that cannot be excluded by law.
You will cover us against claims arising from your inputs, your outputs or your breach of these terms.
9. Suspension and termination
You can close your account at any time from the app. We may suspend or close an account that breaks these terms, puts the service or others at risk, or has not been used for [24] months, giving notice where we reasonably can. On closure, outstanding jobs are stopped, keys stop working, and stored inputs and outputs are deleted as described in the Privacy policy. Sections 4 to 10 survive closure.
10. Governing law and contact
These terms are governed by the laws of [Province], Canada, and the courts of [Province] have jurisdiction, except where the law of your country gives you protections that cannot be waived. If part of these terms cannot be enforced, the rest still applies.
